About the role:

We are seeking a dynamic and pragmatic Associate Commercial Counsel to join our growing legal team. In this role, you will be responsible for managing and negotiating a broad range of commercial agreements and supporting cross-functional teams on legal and business issues. The ideal candidate is someone who thrives in a fast-paced, high-growth environment and is comfortable balancing legal risks with business objectives.

As an Associate Commercial Counsel, you will:

  • Draft, review, and negotiate a wide variety of commercial contracts, including SaaS agreements, vendor agreements, partnership agreements, NDAs, and service agreements.
  • Advise internal teams (Sales, Marketing, Product, Operations, and Finance) on legal risks and contractual matters to enable business outcomes.
  • Support legal operations by assisting in implementing and managing a contract management system.
  • Conduct legal research to support contract negotiations and ensure compliance with relevant laws and regulations.
  • Stay updated on changes in legislation and industry standards affecting the company.
  • Serve as a point of contact for contract-related inquiries from clients, internal team members, and vendors.
  • Foster strong relationships with external partners to facilitate smooth contract execution.
  • Work with General Counsel to develop contract playbooks and train legal AI assistant to review, draft, redline, and identify risks in contracts.

What you'll need:

  • J.D. degree and license to practice law in at least one U.S. jurisdiction.
  • 3–5+ years of relevant legal experience, with a mix of law firm and in-house experience strongly preferred.
  • Substantial experience drafting and negotiating complex commercial agreements in the tech or SaaS industry.
  • Strong communication and interpersonal skills; able to collaborate effectively across all levels of the company.
  • Excellent judgment, attention to detail, and an ability to balance legal and business considerations.
  • Familiarity with legal tech tools and contract lifecycle management systems.
  • Must be licensed to practice law in one or more of these locations preferred: NY, GA, DE, or CA

Nice to Haves:

  • Experience supporting commercial deals in international markets.
  • Interest in AI, emerging technologies, and their regulatory landscape.
  • Familiarity with data privacy laws and a working knowledge of how they impact contractual obligations.
  • Provide guidance on general corporate legal matters, such as entity management, corporate governance, and equity matters (experience in these areas is a plus, but not required).
  • Experience or familiarity in the federal sector or dual use technology is a plus.
