Job Description
Vimeo is seeking an energetic and business-focused Associate Commercial Counsel to support Vimeo’s Legal Team with the drafting, review, negotiation, and administration of Vimeo’s agreements with partners and sales-assisted customers. In this role, you will collaborate with a variety of stakeholders and manage multiple priorities concurrently. You will report directly to our Vice President, Associate General Counsel - Commercial.
What you’ll do:
- Independently review, draft, revise, interpret, and negotiate a broad range of agreements between Vimeo and its sales-assisted customers on a daily basis. Such agreements include SaaS and other technology licensing agreements, reseller and referral partnership agreements, RFIs and RFPs, OEM agreements, consulting agreements, statements of work, and nondisclosure agreements.
- Work across departments (such as Sales, Finance, Deal Desk, Security, and the Executive Leadership Team) to ensure that contracts are negotiated and executed in compliance with our contracting policies and applicable law.
- Respond promptly to approval requests from Vimeo’s business teams and escalate issues where appropriate.
- Educate stakeholders on our policies, procedures, and negotiation playbook, and communicate issues concerning contract risks and agreement structure.
- Maintain and improve our contracting policies, procedures, and negotiation playbook.
- Assist in management and maintenance of Vimeo’s standard terms, templates, and processes with the goal of minimizing friction with customers and mitigating risk for the business.
Skills and knowledge you should possess:
- 3+ years of experience drafting and negotiating agreements in a global SaaS enterprise environment.
- Solid understanding of commercial contract terms (e.g., intellectual property rights, indemnification, and limitations of liability) and the ability to translate that understanding into redlines and articulate in negotiations.
- Ability to identify legal risks within contracts and present summaries in a clear and compelling manner.
- Strong written and verbal communication skills.
- Strong organizational skills, extreme attention to detail, and good judgment.
- Ability to work in a self-directed manner as well as in a team setting and manage multiple tasks at a time.
- Ability to work efficiently and effectively in a remote environment.
- Global privacy experience is preferred (but not required).
- Knowledge of Salesforce or other enterprise quoting tools is preferred (but not required).
- Experience with the Federal Acquisition Regulations (FAR) for federal contracts is a plus.
Base Salary Range:
- NYC Metro, Bay Area, Seattle, & Los Angeles: $143,000 - $197,000
- All other US cities outside above metro areas: $128,700 - $177,300
