About the job

We are looking for a Commercial Contracts Manager to join our Procurement & Real Estate Legal function, supporting the Global Procurement organization across all categories of spend (technology, professional/consulting services, extended workforce/HR, travel/meetings/events). In this role, you will be a member of our Procurement Legal function, which currently consists of four legal professionals. You will directly support Twilio’s Global Procurement team by reviewing and vetting requests for legal support on all commercial contracts-related matters and advancing those requests to deal closure.

Responsibilities

In this role, you’ll:

  • Advise, draft and negotiate a variety of: (a) technology contracts, including software-as-a-service (SaaS) agreements, IT services agreements and software licenses; (b) professional services, consulting services and business process outsourcing contracts; (c) commercial agreements, including supply/purchase contracts, services agreements and non-disclosure agreements; and (d) data contracts, including hosting agreements, data processing agreements, data security agreements, etc.
  • Independently negotiate MSAs, SOWs and NDAs on Twilio’s template and vendor’s template
  • Draft and negotiate non-standard contractual terms and language from scratch into MSAs and SOWs
  • Be an operational expert on Twilio’s Global Procurement contracting processes
  • Serve as a point of contact to provide commercial contracts-related education and process guidance to your Global Procurement clients
  • Contribute to your knowledge and learnings from novel situations to the Global Procurement Playbook
  • Provide support on a variety of ad-hoc operational projects and tasks
  • Develop, assist and provide training and enablement resources to Global Procurement clients

Required:

  • A bachelor’s degree
  • 7+ years of experience as a Contracts Manager, Contracts Specialist, or Contracts Paralegal, which includes exposure and proficiency drafting and negotiating MSAs, SOWs and NDAs across various categories of spend
  • Experience using commercial contracting tools, including Agiloft CLM, Ironclad CLM, Microsoft Office Suite, Google Suite, Oracle ERP, ServiceNow, OneTrust, DocuSign, and Adobe Acrobat Pro
  • Outstanding communication skills, both written and verbal, and strong attention to detail with a customer-first attitude
  • Be a process-minded and oriented professional
  • Ability to work in a fast-paced and ever-changing environment with minimal supervision

Desired:

  • Experience supporting the contracting process for a Global Procurement organization (or sales organization) at a high growth technology company
  • Experience creating and managing process documentation and policies
  • Privacy certification (e.g., CIPP/US, CIPM, etc.)
  • Good sense of humor, disdain for drama, interest for learning new things, and desire to get things done

Location

This role will be remote - US.

Travel

The estimated pay ranges for this role are as follows:

  • Based in Colorado, Hawaii, Illinois, Maryland, Massachusetts, Minnesota, Vermont or Washington D.C. : $104,300 - $130,300.
  • Based in New York, New Jersey, Washington State, or California (outside of the San Francisco Bay area): $110,400 - $137,900.
  • Based in the San Francisco Bay area, California: $122,600 - $153,200.
  • This role may be eligible to participate in Twilio’s equity plan and corporate bonus plan. All roles are generally eligible for the following benefits: health care insurance, 401(k) retirement account, paid sick time, paid personal time off, paid parental leave.

The successful candidate’s starting salary will be determined based on permissible, non-discriminatory factors such as skills, experience, and geographic location.
