One Pass Solutions, Inc. was founded in 2017 by Optum, a subsidiary of UnitedHealth Group. In early 2025, One Pass Solutions, Inc. spun off and is now operating as a separate entity.

One Pass Solutions, Inc. has two products,One Pass andOne Pass Select, which is offered through insurance partners and employers.

The Role

The General Counsel will serve as the primary legal advisor to the company, overseeing all legal matters, including corporate governance, contracts, regulatory compliance, intellectual property, litigation, and risk management. You will work closely with the executive team to support business objectives, ensure compliance and regulations, and provide guidance on complex legal issues. You will be responsible for establishing best practices and protecting the company’s interests while enabling growth and innovation.

Key Responsibilities

  • Serve as the company’s chief legal advisor, providing strategic counsel to the CEO, executive team, and the board of directors on key business initiatives and legal and compliance matters.

  • Develop and implement a comprehensive legal and compliance strategy that supports the company’s business objectives, growth plans, and industry leadership.

  • Advise on corporate governance matters, ensuring the company maintains compliance with all relevant laws, regulations, and best practices across Medicare, Medicaid, and Commercial channels.

  • Oversee the company’s internal policies, codes of conduct, and regulatory compliance programs, ensuring alignment with applicable legal and industry standards across both internal team and external vendors.

  • Lead the negotiation, drafting, and review of payor contracts with Medicare, Medicaid, and commercial payors.

  • Ensure that contracts are compliant with relevant laws and protect the company’s interests.

  • Develop and execute the company’s intellectual property strategy, ensuring the protection of patents, trademarks, copyrights, and trade secrets.

  • Identify and mitigate potential legal and business risks across the organization, including operational, financial, and reputational risks.

  • Establish risk management policies and procedures to minimize exposure and protect the company’s interests.

  • Oversee data privacy and security compliance, ensuring adherence to applications laws and industry best practices.

  • Provide legal guidance on employment-related matters, including recruitment, termination, employee contracts, workplace disputes, and compliance with labor laws.

About You

  • 7-10+ years of legal experience with at least 2+ years in the health insurance or healthcare sector.

  • J.D. from an accredited law school is required.

  • Deep understanding of Medicare, Commercial, and Medicaid policies, interpretation of annual changes and the interplay of how plans file their benefits.

  • Experience with payor agreements with commercial insurance providers, Medicare, and Medicaid is required.

  • Deep understanding of the legal landscape, including intellectual property, contracts, corporate governance, data privacy, and regulatory compliance.

  • Strong expertise in intellectual property law, including patents, trademarks, copyrights, and trade secrets.

  • Experience managing litigation, regulatory matters, and legal disputes.

  • Solid understanding of regulations, including healthcare, data privacy laws, and cybersecurity regulations.

  • Ability to think strategically, balancing legal and business considerations to drive growth and minimize risk.

  • Excellent communication and interpersonal skills, with the ability to collaborate effectively with internal stakeholders, executives, and external partners.

  • Strong problem-solving skills and the ability to navigate complex legal and regulatory issues in a fast-paced, high-growth environment.
