Job Description
Our client, the largest global provider of insurance, annuities, and employee benefit programs, is seeking a Derivatives Attorney to support their team. This is a unique opportunity to experience the flexibility of the Axiom model for a six-month engagement that has significant potential for conversion/hiring to the client team. This role will require hybrid work at our client’s office in Whippany, NJ 2-3 days/week.
Responsibilities:
- Collaborate on derivatives negotiations.
- Prepare and negotiate ISDA Master Agreements, VM and IM Credit Support Annexes, IM Collateral Transfer Agreements, and Security Agreements.
- Draft Custody Agreements and Account Control Agreements.
- Review and customize bespoke trade confirmations and terms.
- Review derivatives documentation in internal restructurings.
- Analyze collateral provisions in reinsurance structures, including VA and UK longevity.
- Advise on hedging strategies for pension risk transfer transactions.
- Evaluate disclosure and investment management agreement provisions related to derivatives.
- Advise on all aspects of Title VII of Dodd-Frank and similar derivatives laws affecting MetLife affiliates engaged in derivatives activities.
Minimum Qualifications:
- 4-8 years of experience in drafting and negotiating derivatives documentation and agreements.
- Proven track record in coordinating and overseeing complex derivatives negotiations.
- In-depth understanding of ISDA protocols and derivatives regulatory requirements, including Dodd-Frank Title VII.
- Familiarity with KYC, AML compliance, and onboarding processes.
- Excellent communication, negotiation, technology, and problem-solving skills.
- Juris Doctor degree or equivalent, and active license to practice law in a U.S. jurisdiction.
Preferred Qualifications:
- Experience with MSFTAs, securities lending, and/or repurchase agreements.
- Prior in-house experience with insurance company investments or with an investment manager.
Compensation, Benefits & Location:
This role offers a range of competitive compensation starting at $150,000 and a highly competitive benefits package in the alternative legal services marketplace that includes health benefits, 401K and more.
